07.13.2010 - DS Smith announces that it has entered into an agreement with The Carlyle Group for the acquisition of the stake held directly and indirectly in Otor.

DS Smith Plc (« DS Smith ») and The Carlyle Group (« Carlyle ») announce that, following the opening on 7 July 2010 of exclusive negotiations relating to the acquisition byDS Smith of the control of Otor SA (« Otor » or the « Company »), currently held by Carlyle, a final agreement has been entered into today for the completion of this transaction. The acquisition agreement is conditional, inter alia, upon obtaining the approval of DS Smith shareholders at a general meeting and relevant antitrust clearances having been received. This transaction will, as previously announced, involve, directly and indirectly, the sale of the 94.75% of the share capital of Otor held by Carlyle as well as the shares held by the management. This will allow DS Smith to control more than 95.00% of the shares and voting rights of the Company. The price offered by DS Smith is 8.97 euros per Otor share.

07.07.2010 - DS Smith enters into exclusive discussions with The Carlyle Group to acquire a majority interest in Otor

DS Smith Plc (“DS Smith”) and The Carlyle Group (“Carlyle”) today announce that they have entered into exclusive discussions regarding the acquisition of the entire interest controlled by Carlyle in Otor SA (“Otor” or the “Company”). The contemplated transaction would involve, directly and indirectly, the sale of 94.75% of the share capital of Otor. In addition, shares detained by Otor’s chairman would also be sold to DS Smith, which would post closing of the transaction control more than 95.00% of the share capital and voting rights of the Company. The price per Otor share offered by DS Smith is €8.97. Following completion of the transaction, DS Smith intends to launch a squeeze out offer on the remaining listed shares.

18.02.2008 - Otor Papeterie de Rouen ISO 9001: 2000 certified

By placing customer satisfaction at the core of its organisation, Otor Papeterie de Rouen paper mills has just been ISO 9001 certified for its quality management system.

This certification is proof of the high performance and efficiency of the methods and processes used as well as a greater focus on customer satisfaction in an increasingly competitive context.

Otor Papeterie de Rouen paper mills in Normandy specialise in the production of lightweight and recycled containerboard. The site, equipped with a 7 metre width paper machine, has a production capacity of 250,000 tonnes.

29.10.2007 - Otor signs an important licensing agreement with Japanese leader, Rengo.

Otor’s international network of partners and licensees includes a new member, Rengo, the leading Japanese cardboard packaging company.

The licenses acquired by Rengo include patented Otor packaging, its especially-developed mechanisation systems (Otor Systems machines) and the transfer of know-how specific to corrugated board in terms of design (Otor software), production and marketing.

This new commercial agreement confirms Otor's technological advance in relation to innovation, value analysis and weight reduction in packaging.
It consolidates Otor’s presence worldwide, offering its customers the possibility of accompanying them in their international development.

03.09.2007 - Jean-Marie Paultes Chairman of Ondef

At its last board of directors’ meeting, ONDEF (the French corrugated packaging association) elected its new chairman, Mr Jean-Marie Paultes, replacing Mr Jean-Claude Constant (International Paper) who had come to the end of his two-year term of office, having successfully brought the association through a particularly difficult period for the industry.

Forty-five year old Jean-Marie Paultes, an industrial engineer, joined Otor in 1987 as Maintenance Manager. He then became Technical Manager of the Godard board mill, and held the position of Technical Manager of Groupe Otor for 12 years. He was appointed General Manager of Otor SA in March 2005.

During his term of office as chairman of Ondef, Jean-Marie Paultes intends to step up the promotion of corrugated board and corrugated board packaging, the leading product distribution material both in
France and across the globe.

- Otor Dauphiné to build a 2,000 sq.m. facility

The CEO of
Otor Dauphiné board mill, Gilbert Aïassa, and the chairman of the Saint-Jeannaise inter-municipality committee, Gilbert Cecillon, signed an agreement for the construction of a 2,000 sq.m. building next to the board mill. The inter-municipality committee will carry out the construction work and then lease the facility to Otor Dauphiné for 15 years before it takes over ownership of the building.

“This extension will enable us to rationalise our organisational structure by focussing on our production facility in Saint-Jean-de-Bournay and thus avoiding unproductive, polluting lorry traffic”, explains Gilbert Aïassa.




DELAIRE RECYCLAGE

06.02.2007 - Otor sells its recycling activity to Paprec

As part of its strategy to refocus on its core business, Otor has just sold its subsidiary, Delaire Recyclage, to Paprec. Otor
S.A. has sold 95.02% of its shares for a total price of 5,351,542 euros.

Conclusion of the sale was accompanied by the signature of a long-term procurement contract between Otor and Paprec for the supply of waste paper to Otor's paper mills.

PAPER MILL

29.11.2006 - Veolia/Otor partnership


Otor Papeterie de
Rouen paper mill has signed a partnership agreement with Veolia Propreté to set up a biomass cogeneration and waste recycling unit on its production site.

Veolia Propreté will invest 15 million euros in a waste recycling unit that may eventually be completed with a biomass power plant on the production site of Otor Papeterie de Rouen paper mill (Saint-Etienne de Rouvray).

The investment is intended to breathe new life into the paper mill where 114 jobs out of 274 were axed as part of a restructuring plan announced last May. With a capacity of 70,000 to 100,000 tonnes, the unit, scheduled for start-up in 2008, should initially lead to the creation of about twenty jobs.

On five hectares of land leased by Otor, Veolia will collect non-toxic industrial and tertiary waste such as paper, cardboard, plastic, wood, metal, iron scrap and rubble. The company will also process waste from the paper mill pulper which crushes and blends waste paper to make pulp.
Veolia eventually wants to build a power and heat production plant on the site fuelled with combustible waste and wood. The company has applied for State authorisation to implement the project and is waiting for approval.
