2008
Modification of Capitalization compartments
Further to Euronext Paris publication about list of the values which change compartments of capitalization as from 21/01/2008, Otor change from C to B:
- Compartment “B” will comprise the companies with a market capitalization between 150 million and
up to and including 1 billion euros.
Stock market capitalisation is calculated based on the opening stock exchange price during the last 60 trading days of 2007.
2007
Change in shareholders
After transfer of Otor Participations’ shares to LCL (Crédit Lyonnais), Packaging Investment I and Packaging Investment II (held by Carlyle) now have a majority holding (92,95%) in Otor Finance, which owns 80.14% of the shares in Otor SA. LCL holds the remaining 7.05%.
2006
In accordance with the stock market regulations and the commitments made by the Carlyle funds (Packaging Investment I and Packaging Investment II) with the market authorities and minority shareholders when they joined Otor in 2000, a simplified takeover bid was made for the rest of the company capital. The bid price was 4.6 euros per share.
As a result of the takeover bid, “Packaging Investment I" and "Packaging Investment II" now have a direct and indirect share in Otor of 94.02%.
2005
During 2005, quotations of Otor shares were suspended from 31.03.2005 to 31.12.2005 following Euronext decision 2005-1255 (“press release pending").
On 28th June 2005, the Board of Directors of Otor Finance confirmed that Carlyle had converted its bonds to shares in the company. On 31.12.2005, following conversion, the Carlyle funds “Packaging Investment I" and "Packaging Investment II" owned 93% of the capital of Otor Finance which has a controlling stake in Otor SA.
2004
In 2004, the average market price was 3.81 euros per share. The highest price was 4.29 euros and the lowest was 3.40 euros. 1,476,523 shares were traded during 2004, for a total of 5,756,822.54 euros.
